Vendor Agreement

This Vendor Agreement ("Agreement") is between BOSSROSSY (operator of Mall of the World, the "Platform") and you, the independent seller ("Vendor"). It governs your use of the Platform to create a store, list products, and conduct sales.

This Agreement forms part of the broader Mall of the World Terms & Conditions. In the event of conflict, this Agreement takes precedence for vendor-specific matters.

To become a vendor on Mall of the World, you must:

• Register an account and provide accurate personal and business information
• Agree to this Vendor Agreement and all platform policies
• Be at least 18 years of age or have legal capacity to enter a binding agreement
• Have a valid email address and banking/payment account for payouts
• Operate a legitimate business that complies with applicable laws in your jurisdiction

BOSSROSSY reserves the right to approve or reject vendor applications at our discretion.

3.1 Product Listings

• All listings must be accurate, complete, and not misleading
• Images must represent the actual product being sold
• Prices must be clearly stated and inclusive of applicable taxes
• Stock levels must be kept up to date at all times

3.2 Order Fulfilment

• Vendors must fulfil all confirmed orders promptly and within the stated timeframe
• Vendors are responsible for packaging, shipping, and tracking
• Vendors must notify buyers of any delays or stock issues as soon as possible
• Vendors must respond to customer queries within 24–48 hours

3.3 Customer Service

• Vendors must handle refund and return requests in compliance with the Refund Policy
• Vendors must cooperate with BOSSROSSY in dispute resolution processes
• Vendors must maintain a professional standard of communication with buyers

By using Mall of the World, vendors agree to the following fee model:

BOSSROSSY reserves the right to update the fee structure with 30 days' written notice. Continued use of the platform after such notice constitutes acceptance.

All customer payments are collected by BOSSROSSY via secure payment gateways. Vendor payouts are processed as follows:

• Payouts are calculated as: Sale Amount − Platform Commission − Payment Gateway Fees
• Payouts are processed on a weekly or bi-weekly basis (as agreed during onboarding or updated in your dashboard)
• Vendors must provide valid banking or PayPal details to receive payouts
• BOSSROSSY reserves the right to withhold payouts in the event of active disputes, suspected fraud, or policy violations
• Vendors are responsible for their own tax obligations on income earned through the platform

The following are strictly prohibited on Mall of the World:

Vendors found listing prohibited items will be immediately suspended and reported to relevant authorities where required.

BOSSROSSY may suspend or permanently terminate a vendor account if the vendor:

• Violates this Agreement or the general Terms & Conditions
• Lists prohibited products or engages in fraudulent activity
• Receives an excessive number of unresolved customer complaints
• Fails to fulfil orders without valid justification
• Provides false information during registration or at any time
• Attempts to manipulate reviews, rankings, or platform systems

In cases of serious violations, termination may be immediate without prior notice. Pending payouts may be withheld during investigations. Vendors may appeal a suspension by emailing vendors@malloftheworld.co.za.

By operating a store on Mall of the World, you warrant that:

• You have full legal rights to sell the products listed in your store
• Your products comply with all applicable safety, labelling, and legal standards
• You will not engage in any activity that could harm BOSSROSSY's reputation
• Your business operations comply with applicable tax and consumer protection laws

Vendors retain ownership of their product content (images, descriptions, branding). By publishing content on the platform, you grant BOSSROSSY a non-exclusive, royalty-free licence to display, distribute, and promote your listings on the platform and in marketing materials.

You must not infringe on any third-party intellectual property in your listings.

Vendors agree to indemnify and hold harmless BOSSROSSY, its directors, and employees from any claims, damages, or expenses arising from:

• Vendor products causing harm, injury, or loss to buyers
• Vendor violation of applicable laws or third-party rights
• False or misleading product representations

BOSSROSSY is not liable for vendor business operations, product quality, or delivery performance.

By creating a store, you confirm you have read, understood, and agree to:

• These Vendor Terms
• The Mall of the World Terms & Conditions
• The Privacy Policy
• The Refund & Returns Policy

This Agreement is governed by the laws of the Republic of South Africa. Disputes arising from this Agreement shall be resolved in accordance with South African law, with both parties submitting to the jurisdiction of the South African courts.
